The units sold are commercial premises in the form of condo units in a hotel building, sold by the special purpose company Zdrojowa Invest Sp. z o.o. Projekt 5 Sp.k. In accordance with regulations, Zdrojowa Invest does not currently use escrow accounts for condo projects. In this case, the investment has already been built, paid off, and the hotel is open. By law, the Owner of the unit may sell their unit at any time. Zdrojowa Invest has the right of first refusal at a price set by the Owner. Currently, Zdrojowa Invest 2 Sp. z o.o. operates the secondary market, which improves the liquidity of such units, but selling any real estate carries inherent risk. Entrepreneurs and business owners as defined under VAT law may recover VAT on the purchase, and relevant taxes may apply upon sale. The exclusive tenant of condo units during the purchasing process is Zdrojowa Rent 2 Sp. z o.o. A fixed, long-term, quarterly rental income may be taxed preferentially in accordance with applicable regulations. As a rule, maintaining the unit involves typical market costs and those resulting from the Law on Ownership of Premises, but during the rental period under Zdrojowa management, the owner only covers the renovation fund, necessary repairs, and property tax. The possibility of limited use of the rented unit or another location under preferential conditions for the Owner is a privilege, not a right. The commitment agreement does not constitute a guarantee of profit, as no business can offer such a guarantee.
